Buy-Side Mergers & Acquisitions
We take a systematic approach to corporate acquisition engagements. On the buy side, our approach is to:
- define the market opportunity, defensive move or competency gap that the company needs to fill
- define the attributes of the ideal acquisition target (size, technology, products, channels)
- identify the universe of viable targets—both standalone private companies and divisions of public companies
- develop contact programs that target these companies, solicit their interest, negotiate the terms, and close the transaction.
Sell-Side Mergers & Acquisitions
Our sell-side M&A process includes
the following steps:
- develop a clear and compelling presentation that conveys the company’s true value, based on near-term commercial traction and longer-term strategic value derived from unique technology, products, business models, and personnel
- identify the best acquirers for the company—larger companies who would place the highest value on the client’s combined near-term and strategic value and whose management and culture are consistent with our client’s objectives and goals
- develop and execute the contact program, negotiate terms, and close the transaction.
Our goal is to provide maximum negotiating leverage by achieving situations where there are multiple attractive bidders for the company.
Alteon also provides management with analysis on the optimal timing, valuation, and positioning of the IPO. We assist companies with introduction to and selection of underwriters.
Deal Sourcing
Alteon Capital’s deal-sourcing engine is one of its key competencies. Our team and advisory network are composed of leading Silicon Valley technologists and product management executives who bring deep domain expertise across several high-growth product/technology sectors. Over many years as venture advisors, we have continually interviewed and met promising technology companies. We track several hundred tech companies and monitor their customer traction, development progress, and fundraising plans. We mine this network to source venture investment opportunities for larger venture funds and banking opportunities for our affiliated technology investment banks.
Deal Diligence
Alteon also offers diligence services to private equity, hedge fund, and corporate clients. Our team has deep knowledge of product and market dynamics across much of the information technology and electronics industry. This allows us to diligence deals and assess risk, and returns potential and intrinsic value of new venture investment opportunities.
